COMPETITION OVERVIEW

Picture Dignity is an open photographic competition sponsored by +Acumen chapters from around the world. At +Acumen, we believe that dignity is more important to the human spirit than wealth, and we have created Picture Dignity promote this idea. The theme of this competition is the expression of dignity of people in varying circumstances and places.

+Acumen chapters promote the mission of Acumen, a non-profit that raises charitable donations to invest in companies, leaders, and ideas that are changing the way the world tackles poverty. +Acumen chapters are deeply committed volunteer-led groups learning and sharing Acumen’s principles and approach to help create a world beyond poverty.

SPONSOR

The sponsor of Picture Dignity is +Acumen, 76 Ninth Avenue, Suite 315, New York, NY 10011 (the “Sponsor”).

TERM
Picture Dignity begins July 22, 2013 at 11:59:00 p.m. US Eastern Time and ends on September 22, 2013 at 11:59:00 p.m. US Eastern Time (the “Contest”), subject to extension or earlier termination at the sole discretion of the Sponsor. Information on how to enter and prizes form part of these official rules (“Official Rules”). By submitting an entry, each entrant agrees to the Official Rules and warrants that his or her entry complies with all requirements set out in the Official Rules. This is a skill based contest and chance plays no part in the determination of winners.

WHO MAY ENTER
This Contest is open only to individuals who have reached the age of majority in their jurisdiction of residence at the time of entry and have full legal capacity to understand and comply with the Official Rules and grant to Sponsor the rights provided for in such Official Rules. THIS CONTEST IS VOID WHERE PROHIBITED BY LAW.

HOW TO ENTER
Each entry consists of an online entry form (available at picturedignity.strutta.com) and one (1) photographic image per entry. Completed entry forms must include the entrant’s name, email address, confirmation of age of majority, and confirmation of acceptance of Official Rules. Entrants are not required to be affiliated with a +Acumen chapter. However, to be eligible for any of the local +Acumen chapter prizes, entrants should identify one (1) +Acumen chapter on their entry forms with which they wish to affiliate. An entrant may enter only once. To enter: visit picturedignity.strutta.com; complete the entry form and submit along with your photograph and associated photo caption (of 100 words or less) in accordance with the instructions that follow.
The sole category for entry is Dignity; photographs should reflect the concept of dignity, as interpreted by the entrant. Each entry must comply with the following requirements (the "Photograph Requirements"):

1. Photographs must be in digital format. Only online entries will be eligible. No print or film submissions will be accepted for entry into this Contest. Images must be created with a digital still camera or smart phone. For best results, please submit your image as 72 dpi and 1920 pixels on the longest side. Images should be in JPEG or JPG format, RGB color space, monochrome, or a combination of the two. At the VERY LEAST, your image should be at least 800 pixels on the longest side. First round winners will be required to submit an additional high resolution image up to 2MB in size. All entries must be named in the following format: Entrant last name_Entrant first name_current city _Caption. Example: Gomez_Linda_Chicago_Veterans

2. Photographs must have been taken within two (2) years before the date of entry.

3. The image must be recognizable as a photo with minimal cropping or modification by software. High dynamic range images (HDR) and stitched panoramas are NOT acceptable. Any changes to the original photograph not itemized here are unacceptable and will render the photograph ineligible for a prize.

4. Photographs should include at least one human figure. [Photographs that show subjects staring into the camera should be limited and used with care. While potentially powerful, depending on context and composition, they can sometimes feel exploitative. When in doubt, please be conservative. Not all images need to be happy and cheerful, but they should represent subjects in a dignified light.]

5. Photographs that include sculptures, statues, paintings, and other works of art will be accepted as long as the submission, use, dissemination, reproduction, creation of derivative works, modification, distribution, performance and display of the photographs do not constitute copyright infringement or fraud; entrants must be prepared to obtain a release form as described below in “Release.” When photographing the work of others, it must be as an object in its environment and not a full-frame close-up of another person's art.

6. The photograph, in its entirety, must be a single work of original material taken by the Contest entrant. By entering the Contest, entrant represents, acknowledges, and warrants that the submitted photograph and the associated caption is an original work created and owned, free and clear of all encumbrances, solely by the entrant, that the submission, use, dissemination, reproduction, creation of derivative works, modification, distribution, performance and display of the photograph does not infringe on the copyrights, trademarks, moral rights, rights of privacy/publicity or intellectual property rights of any person or entity, and that no other party has any right, title, claim, or interest in the photograph.

7. The photograph must not, in the sole and unfettered discretion of the Sponsor, contain obscene, provocative, defamatory, sexually explicit, or otherwise objectionable or inappropriate content.
The Sponsor reserves the right to reject any entry that does not meet the Photograph Requirements. All entries must be submitted and received by September 1, 2013 at 11:59:00 p.m. ET. Proof of submission is not proof of receipt. The Sponsor reserves the right to examine, and entrant will timely provide, the original photograph/source material in order to confirm compliance with these Official Rules.

CONTEST PRIZES

1. Top socially voted photographs

Of all photographs entered to Picture Dignity, a prize will be awarded to the top socially voted professional photograph and the top socially voted amateur photograph, each based on number of votes received through Facebook. A professional photograph is one that is taken by a Photo Dignity participant who earns a substantial portion of his or her livelihood from compensation earned by taking photographs (a “professional photographer”), and indicates themselves as "professional" during entry. An amateur photograph is one that is taken by a Photo Dignity participant who is not a professional photographer.

The winners of the top socially voted professional photograph and amateur photograph will each receive a one-year “awesome” subscription to 500px (www.500px.com) (a $75 USD value).

2. Top 30 finalists

A panel of +Acumen judges (consisting of James Wu, Evgeny Tchebotarev, and Ryan Lobo) will choose 30 finalists they believe are the top photographs of all photographs submitted to Picture Dignity. The photographs chosen as the top 30 are in the sole discretion of the +Acumen judges. In selecting the top 30 photographs, +Acumen judges are permitted, but are not required, to consider the following criteria: creativity, the expression of the concept of dignity and photographic quality (the “Judging Criteria”).

Each of the top 30 finalists, as chosen by the +Acumen judges, will receive a one-year “plus” subscription to 500px (a $25 USD value).

3. Grand prize winner

Of the top 25 photographs chosen by the +Acumen judges, the +Acumen judges will select one grand prize winner for Picture Dignity. The grand prize winner will be chosen by the +Acumen judges in their sole discretion. In choosing the grand prize winner, the +Acumen judges are permitted, but are not required, to consider the Judging Criteria.

The grand prize winner of Picture Dignity will receive a one-year “awesome” subscription to 500px (www.500px.com) (a $75 USD value) and a $500 USD cash prize.

4. Local +Acumen chapter winners

Select +Acumen chapters will each choose one local winner of the photographs submitted to Picture Dignity on behalf of their respective chapters. Participating +Acumen chapters are Riyadh+Acumen (for 3 winners) and DC+Acumen (for 5 winners). Local +Acumen chapter winners will be chosen by their relevant local +Acumen chapter leaders in their sole discretion. In selecting the local +Acumen chapter winners, local +Acumen chapter leaders are permitted, but are not required, to consider the Judging Criteria. Eligibility is determined by your proximity to Riyadh and Washington, DC in order to claim the prize.

Each local +Acumen winner will receive a one-year “plus” subscription to 500px (a $25 USD value) plus a copy of “The Blue Sweater”, by Jacqueline Novogratz (a $16 USD value).

Any or all of the entries, if any, may be selected for broader exposure. If selected, at the discretion of the Authorized Parties, entries may be used as follows:

• Reproduction and sale at any +Acumen events
• Reproduction, modification and dissemination in connection with Acumen and/or its affiliates events, websites, communications and/or publications, and possible reproduction by licensees of Acumen (such as socially minded magazines)
• Reproduction, modification and dissemination in connection with +Acumen events, websites, communications and/or publications, by any of the +Acumen chapters

Any use of your works will include attribution as specified by you on the entry form. Associated captions may be used in conjunction with the associated work, with other works or with no works, and may be excerpted.

The Sponsor will be responsible for all printing, mounting and costs associated with displaying and selling the photographs at any +Acumen event.

Potential winners may be required to affirm the rights granted by virtue of submitting an entry as provided in these Official Rules. Upon notification from Sponsor, entrant shall sign and return within ten (10) days following an attempted notification, an Affidavit, Declaration or Certificate of Eligibility, Liability Release, and where legally permissible, a Publicity Release, and a Warranty of Ownership and License in which the entrant warrants that he/she is the owner of the photograph (and all the intellectual property rights in the photograph submitted) and grants to Sponsor and its licensees the irrevocable, perpetual, worldwide, royalty-free, non-exclusive, transferable license, with right of sublicense, for the submission, use, dissemination, reproduction, creation of derivative works, modification, distribution, performance and display of the entry without additional compensation. Failure to execute and deliver any required documents to Sponsor by the specified deadline may result in disqualification from the Contest, and selection of an alternate potential winner.

NONCOMPLIANCE OR RETURN OF PRIZE NOTIFICATION AS UNDELIVERABLE, WHETHER BY REGULAR MAIL OR BY EMAIL, MAY RESULT IN DISQUALIFICATION AND SELECTION OF AN ALTERNATE POTENTIAL WINNER.

No prize transfer, assignment, or substitution by winners permitted. If a prize is unavailable, the Sponsor, in its discretion, reserves the right to substitute the original with an alternative prize, unless to do so would be prohibited by law.

LICENSE
By entering the Contest, each WINNING entrant grants an irrevocable, perpetual, worldwide, royalty-free, non-exclusive, transferable license to the Sponsor, with right of sublicense, for the submission, use, dissemination, reproduction, creation of derivative works, modification, distribution, performance and display, in any media now or hereafter known. Entrants consent to the Sponsor doing or omitting to do any act that would otherwise infringe the entrant’s “moral rights” in their entries. Authorized Parties will not be required to pay any additional consideration or seek any additional approval in connection with such use. Additionally, by entering, each winning entrant grants to Authorized Parties the unrestricted right to use all statements made in connection with the Contest, and pictures or likenesses of Contest entrants, or choose not to do so, at their sole discretion. Authorized Parties will not be required to pay any additional consideration or seek or obtain any additional approval in connection with such use. Winning entrants agree to execute any assignment or other instrument as may be requested by Sponsor or its sublicensors from time to time to effect the intent of this license.

RELEASES
If the photograph contains any material or elements that are not owned by the entrant and/or which are subject to the rights of third parties, and/or if any persons appear in the photograph, the entrant is responsible for obtaining, prior to submission of the photograph, any and all releases and consents necessary to permit the submission, use, dissemination, reproduction, creation of derivative works, modification, distribution, performance and display of the photograph in the manner set forth in these Official Rules without additional compensation. No entries shall contain images or information of persons under 13 years of age. If any person appearing in any photograph is over 13 years old but under the age of majority in their state/province/territory of residence, the signature of a parent or legal guardian is required on each release.

By entering the Contest, entrant warrants that he or she owns all right, title and interest in the intellectual property rights of the photographs and associated captions submitted with his or her entries, and is able to grant the License as provided below.
To evidence such right, title and interest, upon Sponsor's request, each entrant must be prepared to provide (within seven (7) calendar days of receipt of Sponsor's request):

• a signed release from all persons who appear in the photograph submitted, and/or from the owner of any material that appears in the photograph entry, authorizing by Sponsor and its licensees ("Authorized Parties") the submission, use, dissemination, reproduction, creation of derivative works, modification, distribution, performance and display of the entry, in any media now or hereafter known, in perpetuity and without consideration. All releases must be in the form provided by Sponsor. Failure to provide such releases upon request may result in disqualification at any time during the Contest and selection of an alternate winner, in addition to any other remedies under law or in equity.
• a signed written license from the copyright owner of any sculpture, artwork, or other copyrighted material that appears in the photograph entry, authorizing by any Authorized Party the submission, use, dissemination, reproduction, creation of derivative works, modification, distribution, performance and display of the entry, in any media now or hereafter known, in perpetuity and without consideration. All releases must be in the form provided by Sponsor. Failure to provide such releases upon request may result in disqualification and selection of an alternate winner, in addition to any other remedies under law or in equity.
• a signed written license from the owner of any private property included in the photograph entry, authorizing by any Authorized Party the submission, use, dissemination, reproduction, creation of derivative works, modification, distribution, performance and display of the entry, in any media now or hereafter known, in perpetuity and without consideration. All releases must be in the form provided by Sponsor. Failure to provide such releases upon request may result in disqualification and selection of an alternate winner, in addition to any other remedies under law or in equity.
For the purposes of these Official Rules, the entrant will be deemed to be in receipt of Sponsor's request or notification, (a) in the event that Sponsor sends the request by postal mail, five business days after the request was sent by Sponsor, or (b) in the event that Sponsor sends the request by email, on the day that the email was sent by Sponsor.

CONTEST PRIZES

LIMITATION OF LIABILITY
If the photograph contains any material or elements that are not owned by the entrant and/or which are subject to the rights of third parties, and/or if any persons appear in the photograph, the entrant is responsible for obtaining, prior to submission of the photograph, any and all releases and consents necessary to permit the exhibition and use of the photograph in the manner set forth in these Official Rules without additional compensation. If any person appearing in any photograph is under the age of majority in their state/province/territory of residence the signature of a parent or legal guardian is required on each release.
Upon Sponsor's request, each entrant must be prepared to provide (within seven (7) calendar days of receipt of Sponsor's request) a signed release from all persons who appear in the photograph submitted, and/or from the owner of any material that appears in the photograph entry, authorizing Sponsor and its licensees ("Authorized Parties") to reproduce, distribute, display, and create derivative works of the entry in connection with the Contest and promotion of the Contest, in any media now or hereafter known. All releases must be in the form provided by Sponsor. Failure to provide such releases upon request may result in disqualification at any time during the Contest and selection of an alternate winner. By entering this Contest, all entrants agree to release, discharge, and hold harmless Acumen and its chapters, partners, affiliates, subsidiaries, advertising agencies, agents and their employees, officers, directors, and representatives from any claims, losses, and damages arising out of their participation in this Contest or any Contest-related activities and the acceptance and use, misuse, or possession of any prize awarded hereunder.

DATA PRIVACY
Entrants agree that personal data may be collected, processed, shared, transferred, published and otherwise used for the purposes and within the context of the Contest, the exposure under prizes and any other purposes outlined in these Official Rules. The data may also be used by the Sponsor in order to verify the participant's identity, postal address, and telephone number or to otherwise verify the participant's eligibility to participate in the Contest. Participants have the right to access, review, rectify, or cancel any personal data held by Sponsor by writing to +Acumen, 76 Ninth Avenue, Suite 315, New York, NY 10011. Personal data will be used by Sponsor and its affiliates exclusively for the purposes stated herein. Entrants will be added to listservs of +Acumen chapters and Acumen, for receipt of periodic newsletters and other mailings and solicitations concerning +Acumen chapters and Acumen and its programs. By submitting an entry and providing data, entrant consents to the collection, processing, sharing, transfer, publication and other use of such data.

NOTICE TO INDIVIDUALS: REMOVAL FROM MAILING LIST: Any individual (or other duly authorized person) may elect to exclude the name and address of that individual from all lists used by Sponsor to mail skill contests or other listervs. To elect to have an individual's name excluded from all such lists, submit a removal request in writing to: +Acumen, 76 Ninth Avenue, Suite 315, New York, NY 10011. This notification system may be used to prohibit mailing of all skill contests by Sponsor to such individual.

To the extent the foregoing Contest Requirements conflict with the Contest Rules below, the Contest Requirements shall govern.

Contest Rules

NO PURCHASE NECESSARY. A PURCHASE OR PAYMENT OF ANY KIND WILL NOT INCREASE YOUR CHANCES OF WINNING.

Definitions

In these Official Contest Rules ("Rules"), the following terms have the meanings set out below. In addition, other capitalized terms have the meaning so given to them.

"Contest" means the contest, game, sweepstake, promotion, marketing activity or other event specified in the Contest Summary;

"Contest Facilitators" means, collectively, the Organizer and any sponsors arranged by the Organizer and Strutta.com Media Inc. (“Strutta”);

Contest Requirements” means the guidelines and criteria that entrants must abide by to be eligible for the Contest;

Contest Site” means a subdomain of the Site, a domain or website of the Organizer, or, if applicable, an application within Facebook;

"Contest Summary" means the Contest summary page for a particular contest, which specifies certain information for that Contest;

"Organizer" means the organization that organizes and sponsors a Contest, as specified in the Contest Summary;

Prize” or “Prizes” means the prize or prizes (if there are multiple prizes) to be awarded for a particular Contest as specified in the Contest Summary;

"Region" means the region(s) selected in which the Contest is held as specified in the Contest Summary; and

Site” means www.strutta.com any and any services available thereon.

  1. Eligibility: The Contest is FREE to enter and open to all individuals who are legal residents of the Region(s) specified, and have reached the Minimum Age (as specified in the Contest Summary) at the time of their Entry (as defined below) (“you” or “Contestant”). It is your responsibility to ensure that you are legally eligible to enter the Contest under any laws applicable to you in your jurisdiction of residence or otherwise. The employees, officers and directors of the Contest Facilitators as well as the immediate family (spouse, parents, siblings and children) and household members of each such employee, officer and director are not eligible to participate in the Contest. The Contest is void outside the Region(s) specified, or in any country embargoed by the United States, and where otherwise prohibited by applicable federal, state, provincial or local laws, rules or regulations.
  2. Agreement to Official Rules: By participating in the Contest, you fully and unconditionally agree to and accept these Rules and the decisions of Strutta and/or Administrator, which are final and binding in all matters related to the Contest. Whether or not you receive a Prize is contingent upon fulfilling all requirements set forth in these Rules. The Contest is subject to all applicable federal, state, and local laws. The Organizer is responsible for ensuring the Contest complies with all laws in all jurisdictions where the Contest is offered. CONTESTS are void where prohibited by law.
  3. Contest Period: The Contest opens on the date and time specified in the Contest Summary, and ends on the date and time specified in the Contest Summary (the "Contest Period"). Strutta’s computer is the official time-keeping device for the Contest.
  4. How to Enter: To enter the Contest, complete the registration form on the Contest Site with your name, email address, birth date and any required questions, and then follow the directions specified for the Contest in the Contest Summary during the Contest Period. You must register for a Strutta account or login with a valid Facebook account in order to participate in an Contest. You must then provide an entry ("Entry") that fulfills the Contest Requirements ("Contest Requirements"), as specified in the Contest Summary, to be eligible to win a Prize. Entries that do not include all the required information and adhere to the Rules will be considered void. The Contest Facilitators are not responsible for lost, misdirected or incomplete Entries.

The Organizer determines if an Entry meets the Contest Requirements and otherwise complies with the Rules.

  1. Terms of Submission: You may enter the Contest as many times as is specified in the Contest Summary. You may delete your Entry at anytime. By participating in the Contest you permit public voting in connection with your Entry.
  2. Rights Granted by you: By entering this Contest, you agree that:
    1. the Administrator, Strutta, and their respective licensees, successors and assigns will have the right to use all or a part of your Entry, your name and address (city and state/province/territory), and the names, likenesses, photographs, voices and images of all persons appearing in the Entry anywhere in the world and in perpetuity, for future advertising, trade, promotion and publicity in any manner and in any medium now known or hereafter devised throughout the world in perpetuity, without compensation and without notice to you and without consideration, review or approval from you; and
    2. you agree that you will not now nor in the future be paid for your Entry or for granting any of the rights set out in these Rules.
  3. Your Representations and Warranties: By entering the Contest, you represent and warrant that:
    1. your Entry, in its entirety, is an original work by you and you have not included third party content (such as writing, poetry, text, graphics, artwork, logos, photographs, likeness of any third party, musical recordings, clips of videos, television programs or motion pictures) in or in connection with your Entry without permission;
    2. your Entry, the use thereof by the Contest Facilitators, or the exercise by the Organizer or Strutta of any of the rights granted by you under these Contest Rules, does not and will not infringe or violate any rights of any third party or entity, including, without limitation, patent, copyright, trademark, trade secret, defamation, privacy, publicity, false light, misappropriation, confidentiality, or any contractual or other rights;
    3. you have all the rights, licenses, permissions and consents necessary to submit the Entry and to grant all of the rights that you have granted to the Contest Facilitators under these Contest Rules;
    4. all persons who were engaged by you to work on the Entry, who appear in the Entry in any manner, or have contributed to the Entry have:
      1. given you their written consent to submit the Entry without claims for payment of any kind; and
      2. provided written permission to include their name, likenesses, image or pictures in or with your Entry (or if a minor who is not your child, you must have the permission of their parent or legal guardian) and you may be asked by the Contest Facilitators to provide such permission in writing to the Contest Facilitators; and
    5. You have read, understood, accept and agree to be bound by Strutta's Terms of Service set out at http://www.strutta.com/terms-of-service and Privacy Policy set out at http://www.strutta.com/privacy-policy, as they may be amended from time to time.
  4. Prizes: The Organizer will provide the Prize(s) to be awarded for a particular Contest. No substitution of a Prize will be made unless the Organizer, in its sole discretion, determines otherwise. A Prize must be accepted as awarded, and the odds of winning are dependant upon the total number of eligible Entries received for the Contest Period. If, as a result of an error relating to the entry process, drawing or any other aspect of the Contest, there are more potential winners of Prizes than contemplated in these rules, there will be a random draw amongst all eligible Prize claimants after the Contest Closing Date (as set out in the Contest Summary) to award the correct number of Prizes.
  5. Winner(s): The winner(s) ("Winner(s)") of the Prize(s) will be selected, as specified in the Contest Summary, from all eligible Entries received. If you are selected as a Winner, you will be notified of the selection of your Entry by the phone or email address provided by you on the Registration Form. If you do not respond to the phone or email notification of your selection as a Winner within three (3) days, an alternate Winner will be selected to receive the Prize. All decisions of the Organizer in selecting the Winner (s) are final and binding on all Entrants in all matters relating to the Contest.
  6. To Redeem Prize: Except where prohibited, a Winner (or his/her parent/legal guardian if the Winner is a minor in his/her jurisdiction of residence) shall be required to execute and return to the Organizer within ten (10) days of the date notice or attempted notice is sent, an Eligibility, Declaration of Compliance with the Rules and Liability & Publicity Release Form (“Declaration and Release Form”) in order to claim the Prize. To be officially declared a Winner, each selected Entrant must first correctly answer, without assistance of any kind, a mathematical skill-testing question. The skill-testing question, along with Declaration and Release Form, will be forwarded to each Winner by email. A Prize is personal to the Winner and is non-transferable. If a Winner cannot be contacted, or fails to execute and return the Release Form within the required time period (if applicable), or if the Prize is returned as undeliverable, the Winner forfeits the Prize. Acceptance of any Prize shall constitute and signify the Winner's agreement and consent that the Contest Facilitators may use the Winner's name, photo, city, state, likeness, Entry and Prize information in connection with the Contest, worldwide, including on the internet, without limitation and without further payment or consideration, except where prohibited by law. Each Winner (or his/her parent/guardian if the Winner is a minor) is responsible for all taxes and fees associated with receipt of the Prize.
  7. Voting: Online voting begins and ends as stated in the Contest Summary (the "Voting Period"). Anyone who registers on the Contest Site can vote for their favorite Entry or the Entry that best meets the judging criteria during the Voting Period. The Contest Facilitators have the right, in their sole discretion, to maintain the integrity of the Contest, including the right to void votes, including, but not limited to, for the following reasons:
    1. multiple votes from the same user from different IP addresses or from different email addresses; fraudulent entry votes (using a redirect link, a disguised link, a fraudulent link, etc.);
    2. technical malfunction of servers or internet connection;
    3. user(s) recanting their own votes;
    4. technical or content upgrades that render votes incompatible or inconsistent; and
    5. inappropriate conduct in promoting votes (spam, harassment, etc.).
  8. General Conditions: The Contest Facilitators have the right to verify your eligibility and compliance with these Rules, and to disqualify you on the basis of its investigation.

    Your personal information will be processed in accordance with Strutta's Privacy Policy, as amended from time to time. You should direct any request to access, update, or correct your personal information to Strutta.

    You may not enter with multiple e-mail and/or street addresses, nor may you use any other device or artifice to submit more than one (1) Entry or vote. If you use fraudulent Entry methods, or otherwise attempt to participate with multiple e-mail and/or street addresses under multiple identities, or use any device or artifice to enter more than one (1) Entry, you will be disqualified. In the event of a dispute as to any Entry, the authorized account holder of the e-mail address used to enter will be deemed to be the person who made the Entry. For the purposes of these Rules, the authorized “account holder” is the natural person assigned an e-mail address by an internet access provider, online service provider or other organization responsible for assigning e-mail addresses for the domain associated with the submitted address.

    Nothing contained in these Rules shall be construed to: (i) give any party the power to direct and control the day-to-day activities of the other; (ii) constitute the parties as partners, joint venturers, principal and agent, employer and employee, co-owners or entrants in a joint undertaking; or (iii) allow you to create or assume any obligation on behalf of the Organizer.

    By entering the Contest, you fully and unconditionally agree to and accept these Rules and the decisions of the Contest Facilitators and the members of the voting community, which are final and binding on all matters relating to this Contest.

    Contest Facilitators reserve the right to cancel, modify or suspend the Contest at any time (subject to approval of any regulatory body having jurisdiction), if it is determined that the Contest cannot be run as originally planned or if fraud or any other occurrence comprises the fairness or integrity of the Contest.

    If the Contest is operated in Quebec, Canada, any decision to be made by Strutta may be subject to a ruling of the Régie des alcools des courses et des jeux du Québec.

    You understand and agree that this Contest is in no way sponsored, endorsed or administered by, or associated with, Facebook, and any comments, questions or concerns regarding the Contest shall be directed to the Contest Facilitators and not to Facebook.

  9. Liability Provisions: The Contest Facilitators are not responsible for human error, theft, destruction, or damage to Entries or other factors beyond its reasonable control.

    You assume all risk of damaged, lost, late, incomplete, invalid, incorrect or misdirected Entries. The Contest Facilitators make no warranty, representation or guarantee, express or implied, in connection with its ability to in any way enable, develop or market the idea set forth in your Entry.

    The Contest Facilitators shall not be liable to a Winner or any other person for failure to supply the Prize or any part thereof, by reason of the Prize becoming for reasons beyond the reasonable control of the Contest Facilitators unavailable or impracticable to award, or for any force majeure event, technical or equipment failure, terrorist acts, labor dispute, or act/omission of any kind (whether legal or illegal), transportation interruption, civil disturbance, or any other cause similar or dissimilar beyond the Organizer’s control.

    The Organizer, Strutta and their employees, officers, directors, agents, contractors, representatives, affiliates, divisions, subsidiaries, resellers, dealers, distributors, advertising/promotion agencies, and Facebook, Inc. (the “Released Parties”) shall not assume any responsibility whatsoever for any of the following: delayed, failed, partial or garbled computer transmissions; technical failures of any kind, including, but not limited to, lost, interrupted or unavailable network, server, internet, or other connections; the availability, accessibility, technical failure or miscommunications of computer, satellite, telephone or cable transmissions; the incorrect or inaccurate capture or failure to capture information whether caused by Site or Contest Site users, tampering, hacking, or by any equipment or programming associated with or utilized in the Contest; errors of any kind whether human, mechanical, electronic, network or otherwise arising out of or relating to the Contest; theft, loss, destruction or damage to an Entry in whole or in part; and other factors beyond their reasonable control. The Released Parties are not responsible for injury or damage to your or to any other person’s computer related to or resulting from participating in the Contest or downloading materials from or use of the Site or any Contest Site.

    CAUTION: ANY ATTEMPT BY YOU TO DELIBERATELY DAMAGE THE SITE OR ANY CONTEST SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST IS A VIOLATION OF APPLICABLE CRIMINAL AND CIVIL LAW.     LIMITATIONS OF LIABILITY AND RELEASE: BY SUBMITTING AN ENTRY, YOU AGREE THAT THE RELEASED PARTIES WILL HAVE NO LIABILITY WHATSOEVER FOR, AND WILL BE RELEASED AND HELD HARMLESS BY YOU AND YOUR HEIRS, EXECUTORS, REPRESENTATIVES, SUCCESSORS AND ASSIGNS FOR ANY CLAIMS, LIABILITIES, OR CAUSES OF ACTION OF ANY KIND OR NATURE FOR ANY INJURY, LOSS OR DAMAGES OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES TO PERSONS, INCLUDING, WITHOUT LIMITATION, DISABILITY OR DEATH, AND DAMAGE TO PROPERTY, DUE IN WHOLE OR IN PART, ARISING DIRECTLY OR INDIRECTLY, NOW OR IN THE FUTURE FROM THE DELIVERY, ACCEPTANCE, USE OR MISUSE OF THE PRIZE, ANY AND ALL USE AS PROVIDED HEREIN OF YOUR ENTRY, OR PARTICIPATION IN THIS CONTEST AND/OR ANY RELATED CONTEST.   10. Choice of Law: These Rules shall be governed by and construed in accordance with the laws of the Province of British Columbia, and the laws of Canada, as applicable herein, without reference to its conflicts of laws principles. Any and all disputes, claims, and causes of action with the Contest Facilitators arising out of or connected with this Contest, other than the determination or validity of claims, shall be resolved individually, and exclusively by arbitration under the British Columbia International Commercial Arbitration Centre, in accordance with its rules, as amended from time to time. Any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with participating in this Contest, but in no event attorneys’ fees. You hereby waive all rights to: (i) claim or be awarded any punitive, direct, indirect, incidental, and consequential damages and any other damages, other than for actual out-of-pocket expenses; and (ii) to have damages multiplied or otherwise increased.
